Board - Secretary

The Board Secretary plays a critical governance role in ensuring accurate records, organizational transparency, and compliance with nonprofit governance requirements. This position supports effective Board operations and institutional accountability while advancing NMRC’s mission.


Role Overview

The Board Secretary is responsible for maintaining official Board records and ensuring governance documentation is complete, accurate, and accessible. This is a governance role, not a staff or administrative position, and does not involve day-to-day operations.


Key Responsibilities


  • Record and maintain accurate minutes for Board and committee meetings
  • Maintain official Board records, resolutions, bylaws, and policies
  • Ensure timely distribution of agendas, materials, and notices no later than one week before schedule board meetings. 
  • Support compliance with nonprofit governance and recordkeeping requirements
  • Assist with Board communications and documentation as needed
     

Qualifications


  • Strong organization, attention to detail, and written communication skills
  • Comfort handling confidential and sensitive information
  • Familiarity with nonprofit governance or board processes preferred
  • Reliable follow-through and consistency
  • Experience & Knowledge on proper note taking, note taking tools, and other programs that are relevant to role.  
     

Commitment


  • Monthly Board meetings (virtual/hybrid available)
  • Light administrative time between meetings for recordkeeping
